This Agent Terms & Commission Policy (“Policy”) governs participation in the Documents.com.ng Agent Program. By registering or operating as an Agent, you agree to be bound by this Policy in addition to the Terms of Use and Privacy Policy.

1. Agent Eligibility

To qualify as an Agent, you confirm that:

• You are at least 18 years old

• You operate as a POS agent or business facilitator

• You are authorized to introduce customers for business registration and related services

• All information provided during onboarding is accurate and truthful

📌 Documents.com.ng reserves the right to verify activity and suspend accounts where eligibility is misrepresented.

2. Nature of the Agent Relationship

• Agents operate as independent partners, not employees, representatives, or affiliates of Documents.com.ng.

• This relationship is non-exclusive.

• Agents may continue to operate under their POS providers or other platforms.

3. Agent ID & Account Status

• Upon registration, each Agent is issued a unique Agent ID.

• Initial status is Applicant Agent.

• Full Agent privileges are unlocked only after meeting activity requirements.

Agent statuses may include:

• Applicant Agent

• Active Agent

• Suspended Agent

• Terminated Agent

4. Commission Structure

• Agents earn commissions on successful customer registrations or services completed through their Agent ID.

• Commission rates are displayed on the Platform and may vary by service.

• All commissions are initially recorded as Pending.

📌 Pending commissions are not withdrawable.

5. Commission Lock & Unlock Rules

To protect the integrity of the Agent Program, commissions are subject to an activity-based lock.

Commissions become withdrawable only when both conditions below are met:

1. At least two (2) successful customer registrations within the first 30 days of Agent registration; and

2. At least one (1) successful transaction within the following 60 days

Until these conditions are met:

• Commissions remain locked

• Withdrawals are disabled

Failure to meet the requirements may result in:

• Account downgrade or suspension

6. Wallet & Withdrawals

• Agents have a wallet containing:

  • Pending Balance (locked)

  • Available Balance (withdrawable)

• Withdrawal requests can only be made from the Available Balance.

• Withdrawal requests are subject to:

  • Platform review

  • Fraud checks

  • Administrative approval

Documents.com.ng reserves the right to delay, reverse, or deny withdrawals where suspicious activity is detected.

7. Prohibited Conduct

Agents must not:

• Register fake or duplicate customers

• Submit false documents

• Misrepresent themselves as staff or government agents

• Abuse commission structures

• Attempt to manipulate platform systems

📌 Any such conduct constitutes fraud.

8. Suspension, Forfeiture & Termination

Documents.com.ng may, at its discretion:

• Suspend an Agent account

• Forfeit pending or earned commissions

• Terminate participation in the Agent Program

Grounds include (but are not limited to):

• Fraud or misrepresentation

• Breach of this Policy

• Abuse of the commission system

• Inactivity or suspicious patterns

Decisions may be taken without prior notice where platform integrity is at risk.

9. Limitation of Liability

Documents.com.ng shall not be liable for:

• Loss of anticipated commissions

• Business losses incurred by Agents

• Delays caused by CAC or other third-party government agencies or customers

Total liability, where applicable, shall not exceed commissions earned by the Agent in the preceding 30 days.

10. Modification of Policy

This Policy may be updated periodically. Continued participation in the Agent Program constitutes acceptance of any revisions.

11. Governing Law

This Policy shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.
